Welcome to Cozmos. These Terms of Service ("Terms") govern your access to and use of the Cozmos platform, a private, crypto-native marketplace connecting verified crypto influencers with verified crypto brands for promotional deals.
By accessing or using Cozmos, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the platform.
Cozmos is a private, invite-quality marketplace where verified crypto brands can book verified crypto influencers for promotional deals. The platform facilitates:
Cozmos operates as a custodial platform with an internal ledger system. All crypto transactions are managed through our custodial wallet service.
You must be at least 18 years old and capable of forming a binding contract to use Cozmos. By using the platform, you represent and warrant that you meet these requirements.
Cozmos supports two distinct user roles:
Your role is selected at signup and cannot be changed. A single account cannot be both a brand and an influencer.
Influencers must verify at least one social media platform (YouTube, Twitter/X, or TikTok) to create promotional offers and appear in the marketplace. Verification is completed through platform-specific methods (e.g. verification code in channel description for YouTube, post URL for Twitter/X, link for TikTok) as specified in the platform.
Brand accounts must use a company email domain (not free providers like Gmail or Yahoo) and provide a valid company website. All brand accounts are subject to manual verification and approval by Cozmos administrators before gaining marketplace access. Cozmos reserves the right to reject any brand application at its sole discretion.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Cozmos immediately of any unauthorized access or use of your account.
Cozmos operates an internal wallet and ledger system. Each brand and influencer has an internal wallet for managing funds. All transactions are recorded in our internal ledger, which serves as the source of truth for balances and deal finances.
The platform currently supports Bitcoin (BTC), Ethereum (ETH), USD Coin (USDC), and Tether (USDT). ETH and stablecoins (USDC, USDT) are on Ethereum mainnet. No Layer 2 networks are used. Additional currencies may be added at Cozmos' discretion.
Important: Cryptocurrency Volatility Warning
All deals on Cozmos are denominated in cryptocurrency amounts, not USD. Due to market volatility, the USD-equivalent value of locked escrow and payouts may fluctuate significantly between the time of deal request and payout. Both brands and influencers explicitly agree to transact in the specified cryptocurrency amount and accept all market risk. Cozmos does not guarantee any USD value and is not liable for gains or losses due to price fluctuations.
When a brand requests a promotion, the total amount (influencer fee plus platform fee) is immediately locked in escrow within our internal ledger. Funds remain locked until:
Cozmos charges a 12.5% platform fee on top of the influencer's base price. This fee is paid by the brand and covers platform operations, escrow management, dispute resolution, and support services.
Influencers may request withdrawals of their wallet balance to external crypto addresses. During the Beta Launch phase, all withdrawals are processed manually by Cozmos administrators. Cozmos reserves the right to implement withdrawal limits, verification requirements, and processing timelines.
Influencers create promotional offers specifying the platform, type of promotion, price, lead time requirements, and maximum revisions. Only verified social accounts may be used for promotional offers.
Brands select a promotional offer and specify a publication date, complete a brief form, and may upload creative assets. Upon request submission, funds are locked in escrow. Influencers have 48 hours to accept or decline. Failure to respond results in automatic decline and fund release.
Influencers must publish promotional content on the exact date specified in the deal and submit the live link by 11:59 PM in their configured timezone. Early publication is not permitted. Failure to meet the deadline results in automatic deal cancellation, full refund to the brand, and a strike applied to the influencer's account.
If revisions are permitted by the promotional offer, influencers may submit draft content for brand review. Brands have 24 hours to request changes; otherwise, the draft is automatically approved. The revision process must not compromise the publication deadline.
After publication, brands have 48 hours to approve the final deliverable or open a dispute. If no action is taken within 48 hours, the deal is automatically approved and funds become releasable.
Brands may open disputes within the 48-hour approval window if the delivered content does not meet the agreed-upon brief or quality standards. All disputes are reviewed and resolved by Cozmos administrators. Resolution options include full refund to brand, partial refund with split payment, or full payment to influencer. Administrator decisions are final and binding.
Strikes are automatically applied when an influencer misses a publication deadline. The strike system operates as follows:
Administrators may manually override or remove strikes at their discretion. Influencers with strikes may still withdraw existing wallet funds.
Influencers retain ownership of all promotional content created for deals. By using the platform, influencers grant brands a non-exclusive, royalty-free license to share, promote, and use the content for marketing purposes.
By submitting content through Cozmos, users grant the platform a worldwide, non-exclusive, royalty-free license to host, display, and use such content for platform operations, marketing, and promotional purposes.
The Cozmos name, logo, and branding are proprietary marks owned by Cozmos. Users may not use these marks without prior written permission.
You agree not to:
Cozmos provides the platform on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the platform's operation, reliability, availability, or fitness for any particular purpose.
Cryptocurrency transactions carry inherent risks including volatility, technical failures, and regulatory uncertainty. You acknowledge and accept these risks. Cozmos is not responsible for blockchain network failures, transaction delays, or crypto market fluctuations.
Nothing on the platform constitutes financial, investment, legal, or tax advice. Users are solely responsible for evaluating the suitability and legality of their transactions.
While Cozmos implements verification processes, we do not guarantee the accuracy, legitimacy, or reliability of any user, brand, or influencer on the platform. Users transact at their own risk.
Users are solely responsible for compliance with all applicable laws and regulations in their jurisdictions, including tax reporting, AML/KYC requirements, and securities regulations. Cozmos does not verify regulatory compliance.
To the maximum extent permitted by law, Cozmos and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
In no event shall Cozmos' total liability exceed the amount of fees paid by you to Cozmos in the 12 months preceding the claim.
You agree to indemnify, defend, and hold harmless Cozmos and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the platform.
Cozmos reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
You may request account deletion at any time by contacting support. Account deletion is subject to completion of all active deals and withdrawal of wallet balances.
Upon termination, your right to use the platform immediately ceases. Provisions relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.
These Terms shall be governed by and construed in accordance with the laws of [JURISDICTION], without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in accordance with the rules of [ARBITRATION BODY], or through the courts of [JURISDICTION] if arbitration is not applicable.
Cozmos reserves the right to modify these Terms at any time. We will notify users of material changes via email or platform notification. Continued use of the platform after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the platform.
